Introduction

Welcome to FirmaHoy. These Terms and Conditions of Use ("Terms") govern access to and use of our platform, including the website, applications, services, and related tools. By registering, accessing, or using any of FirmaHoy's Services, you agree to comply with these Terms and to observe applicable laws, particularly the Electronic Signature Law of El Salvador and the Personal Data Protection Law, as well as equivalent regulations in other countries where our services are used.

Acceptance of the Terms

By accessing, using, or registering on FirmaHoy's website or applications, you acknowledge and agree to be bound by these Terms and Conditions. If you do not agree with these Terms, you are not authorized to use the Services and must stop using them immediately.

Consent to Electronic Communications

The User consents to receive all notices, agreements, disclosures, and other communications from FirmaHoy by electronic means, including email, within the platform, or through publication on the official website. Such communications are deemed delivered at the time of sending or publication, and the User agrees that these means satisfy any legal requirement for written form.

1. Access, Site Use, and Eligibility

1.1 Access and Limited License

FirmaHoy grants the user a limited, non-exclusive, non-transferable, and revocable right to access and use the Services solely for lawful purposes and in accordance with these Terms. The user agrees not to use robots, scraping, reverse engineering, or any automated or manual means to extract, copy, or manipulate content. FirmaHoy may suspend or limit access for maintenance, security, non-compliance, or business reasons.

1.2 Eligibility

To use FirmaHoy Services, the user must meet the following conditions:

  • Minimum age: be at least 18 years old or the legal age of majority in your jurisdiction, whichever is higher.
  • Legal capacity: have full legal capacity to enter into binding agreements.
  • Regulatory compliance: not be subject to sanctions, legal prohibitions, or restrictions that limit the use of electronic or digital signatures in your country of residence.
  • Restricted jurisdictions: not be located in countries, territories, or regions where the use of FirmaHoy Services is illegal or prohibited by local regulations, including but not limited to countries under recognized international sanctions.
  • Corporate representation: when registering or using the Services on behalf of a company or organization, the acting person must have sufficient legal authority to bind such entity under these Terms.

1.3 User Obligations

The user agrees to:

  • Use the Services only for lawful, legitimate, and authorized purposes.
  • Not falsify identity or provide false information during registration.
  • Maintain confidentiality of access credentials and promptly notify FirmaHoy of any unauthorized or suspicious access to the account.
  • Comply with all applicable laws regarding electronic signatures, data protection, and use of digital services in the country of residence.

2. Services Provided and Availability

2.1 Service Description

FirmaHoy provides an online platform that allows users to prepare, send, sign, store, and manage documents electronically in accordance with the Electronic Signature Law of El Salvador and other applicable regulations in jurisdictions where the Services are used. Services include, among others:

  • Creation and sending of digital signature requests.
  • Receipt and validation of electronically signed documents.
  • User, document, and workflow administration tools.
  • Audit and activity logging features.
  • Secure storage and recovery options for signed documents.

2.2 Service Limitations

FirmaHoy does not provide legal, accounting, or regulatory compliance advice. The user is responsible for determining the legal validity of electronic signatures and complying with applicable regulatory requirements in their jurisdiction.

2.3 Availability and Maintenance

FirmaHoy will make commercially reasonable efforts to ensure service availability at all times. However:

  • FirmaHoy does not guarantee uninterrupted or error-free availability.
  • Services may be affected by scheduled maintenance, updates, improvements, technical interruptions, internet outages, or causes beyond FirmaHoy's control.
  • For scheduled maintenance, FirmaHoy will seek to notify users in advance within a reasonable time.
  • FirmaHoy is not responsible for failures caused by external providers, internet services, power outages, cyberattacks, or other force majeure events.

2.4 Service Suspension

FirmaHoy may temporarily suspend Services, in whole or in part, for reasons including:

  • Security and protection of the platform or user data.
  • Urgent technical maintenance.
  • User non-compliance with these Terms.
  • Legal or regulatory reasons.

2.5 Right to Modify

FirmaHoy reserves the right to modify, update, or discontinue the Services in whole or in part at any time. To the extent possible, users will be notified of significant changes affecting core functionality.

2.6 Audit Record and Evidence

FirmaHoy may generate, retain, and use electronic audit logs (including timestamps, IP addresses, signature events, document versions, and metadata) as evidence of execution, validity, and traceability of electronically signed documents. Such records may be presented as evidence before administrative or judicial authorities to the extent permitted by applicable law.

3. User Accounts and Security

3.1 Account Registration

To access certain features of the Services, the user must register and create an account with FirmaHoy. During registration, the user agrees to provide complete, truthful, current, and accurate information. FirmaHoy is not liable for harm arising from false, incomplete, or outdated information provided by the user.

3.2 Personal and Non-transferable Use

The account is personal and non-transferable. The user may not share credentials with third parties or allow others to access the account, except through multi-user administration features authorized by FirmaHoy in corporate plans.

3.3 Credential Confidentiality

The user is responsible for maintaining the confidentiality of username, password, and any other access credentials associated with the account. Any activity performed through the account is presumed to be carried out by the registered user.

3.4 Unauthorized Access

The user must immediately notify FirmaHoy of any unauthorized use of the account or suspected security breach. FirmaHoy is not liable for losses or damages caused by unauthorized access attributable to user negligence in handling credentials.

3.5 Identity Verification

FirmaHoy reserves the right to request additional information or documents to verify user identity or account authenticity, especially in suspected fraud scenarios or to comply with legal or regulatory obligations. Refusal to provide such information may result in account suspension or termination.

3.6 Corporate Accounts

When an account is created on behalf of a company, organization, or entity, the acting person must have sufficient legal authority to bind such entity under these Terms. The company is responsible for all activities conducted through its authorized users.

3.7 Suspension for Security Risks

FirmaHoy may temporarily or permanently suspend an account when suspicious access, attempts to compromise system security, non-compliance with these Terms, or fraud risks are detected, notifying the user when possible.

4. Acceptable Use and Restrictions

4.1 Lawful and Authorized Use

The user agrees to use the Services solely for lawful, legitimate, and authorized purposes, in accordance with these Terms and applicable regulations in their jurisdiction.

4.2 Prohibited Activities

The user may not, under any circumstances:

  • Use the Services for illegal, fraudulent, defamatory, deceptive, offensive activities, or activities that infringe third-party rights.
  • Impersonate identities, forge signatures or documents, or manipulate information contained in electronic documents.
  • Carry out activities related to real estate fraud (houses, land, lots), vehicles, or other high-value goods through false or simulated documents or contracts. FirmaHoy is not responsible for fraudulent transactions between users or third parties through the platform.
  • Use the Services in jurisdictions where electronic or digital signatures have no legal validity, unless law provides otherwise.
  • Introduce viruses, malware, trojans, or any harmful code affecting operation of the Services or data security.
  • Interfere with or attempt to interfere with access to or use of the Services by other users, including denial-of-service (DoS) attacks.
  • Access, manipulate, or use system areas not intended for the user.
  • Use robots, spiders, scrapers, or other automated mechanisms to access, copy, or extract information from the Services without express authorization from FirmaHoy.

4.3 Technical and Use Limitations

The user may not:

  • Overload the system with an excessive volume of requests affecting service availability.
  • Attempt reverse engineering, decompilation, or any process to obtain the source code of the Services.
  • Use the Services to send spam, unsolicited advertising, or mass messages.

4.4 Right of Monitoring and Enforcement

FirmaHoy reserves the right to monitor use of the Services and investigate any breach of this Section. FirmaHoy may immediately suspend or terminate user access if prohibited activities are detected, without prejudice to legal actions available.

4.5 Disclaimer Regarding Document Authenticity

FirmaHoy acts solely as a technology provider facilitating electronic signing and document management. FirmaHoy does not validate authenticity, truthfulness, or legality of documents uploaded, signed, or exchanged through the platform. Responsibility for review, validity, and compliance of documents lies exclusively with the parties who prepare, sign, or use them.

5. Intellectual Property

5.1 FirmaHoy Rights

All rights, title, and interest in the Services, including but not limited to software, applications, interfaces, designs, databases, registered or unregistered trademarks, trade names, documentation, manuals, guides, graphic and audiovisual content, process schemes, functionalities, and any improvements, updates, or derivatives thereof, are the exclusive property of FirmaHoy or its licensors.

5.2 Limited License to User

FirmaHoy grants the user a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Services solely in accordance with these Terms. This license does not transfer any intellectual property rights or grant rights other than authorized platform use.

5.3 Prohibitions

The user may not, under any circumstances:

  • Copy, reproduce, modify, adapt, translate, create derivative works, distribute, sell, rent, lease, lend, sublicense, or commercially exploit the Services or any part thereof without express prior written authorization from FirmaHoy.
  • Attempt to discover or access source code, algorithms, security models, or technical architecture of the Services through reverse engineering, decompilation, or any other method.
  • Use FirmaHoy trademarks, logos, or trade names without prior written authorization.
  • Incorporate the Services, in whole or in part, into another product or service without authorization.

5.4 User Content

The user retains all rights over documents and content uploaded to the platform. By using the Services, the user grants FirmaHoy a non-exclusive and limited license to process, store, and transmit such content solely for service provision. FirmaHoy does not acquire ownership rights over user content.

5.5 APIs and Integration Tools

If FirmaHoy offers API access or other integration tools, their use is subject to additional terms and may not be carried out in a way that affects security, stability, or integrity of the Services. FirmaHoy reserves the right to limit, suspend, or revoke API access in case of abuse or non-compliance.

5.6 Reservation of Rights

All rights not expressly granted in these Terms are reserved by FirmaHoy.

5.7 Feedback and Suggestions

The User grants FirmaHoy an irrevocable, perpetual, non-exclusive, royalty-free license to use, modify, incorporate, or develop from any suggestion, idea, or comment provided about the Services, without obligation of acknowledgment or compensation.

6. Privacy, Confidentiality, and Data Protection

6.1 Privacy Policy

Processing of users' personal data is governed by FirmaHoy's Privacy Policy, which forms an integral part of these Terms. By accepting these Terms, the user also accepts the provisions of the Privacy Policy.

6.2 Responsibility for Data

The user is solely responsible for information, documents, and personal data uploaded, transmitted, or managed through the Services. The user represents and warrants having all rights and authorizations required to process such data under applicable law.

6.3 Information Confidentiality

FirmaHoy will keep strictly confidential all information and documents processed through the platform, except in the following cases:

  • Information that is publicly available.
  • Information disclosed by the user.
  • Information already in FirmaHoy's possession before disclosure by the user.
  • Information that must be disclosed by legal mandate or competent authority request.

6.4 FirmaHoy's Role in Data Processing

FirmaHoy will act as data controller and/or processor as applicable:

  • Controller, when collecting and processing users' personal data in the context of the contractual relationship (e.g., registration, billing, support data).
  • Processor, when processing personal data uploaded by users to the platform (e.g., documents, contracts, third-party information).

6.5 Processing Purposes

FirmaHoy will use personal data and confidential information only for service provision, contractual relationship management, legal compliance, platform improvement, and, where applicable, to send service-related communications. FirmaHoy will not sell, rent, or transfer personal data or confidential information to third parties for commercial purposes.

6.6 Security Measures

FirmaHoy implements reasonable and appropriate technical, organizational, and administrative measures to protect personal data and confidential information against loss, unauthorized access, alteration, disclosure, or destruction. FirmaHoy's platform operates 100% in the cloud, and its technological and application architecture is designed to meet the highest security standards and international best practices. However, the user acknowledges no system is completely secure and that FirmaHoy does not guarantee absolute security.

6.7 International Transfers

The user expressly authorizes that, when necessary for service provision, data may be transferred to and processed in countries other than El Salvador, including those without an equivalent level of protection. FirmaHoy will take reasonable measures to ensure such transfers comply with applicable laws.

6.8 Data Retention

Personal data and confidential information will be retained only as long as necessary to fulfill the purposes for which they were collected, or for periods required by applicable tax, contractual, or data protection laws.

6.9 User Rights

Users may at any time exercise their rights of access, rectification, cancellation, objection, and data portability, as well as other rights recognized by applicable data protection law, by sending a request to: soporte@firmahoy.com.

6.10 Incident Notification

In the event of a security breach affecting personal data or confidential information, FirmaHoy will notify affected users and, where appropriate, competent authorities within legally required timeframes.

7. Fees, Payments, and Billing

7.1 Official Currency

All service prices and charges are expressed exclusively in U.S. dollars (USD).

7.2 Payments and Processing

Payments are processed through an online digital payments platform authorized in El Salvador, certified and compliant with financial security standards. FirmaHoy does not store credit/debit card information or other payment methods; such data is managed by the authorized processor.

7.3 Recurring Charges

By purchasing a subscription plan, the user authorizes FirmaHoy to make automatic and recurring charges to the registered payment method according to plan periodicity until cancellation under these Terms.

7.4 Billing Cycles

The billing cycle starts on plan purchase or activation date and renews automatically on the same day of each subsequent period (monthly, annual, or other). If a month does not include that day, renewal will occur on the last day of that month. Charges for additional services, overages, or adjustments will be included in the next period invoice or charged immediately, as applicable and indicated in the user's account.

7.5 Billing and Invoices

FirmaHoy will issue an electronic invoice for each billing period or extraordinary charge, available in the user's account and/or sent to the registered email address.

7.6 Price Changes

FirmaHoy may modify prices or change subscription plan options at any time. For users with active plans, changes will apply only upon renewal of the corresponding plan. Purchases of new plans, add-ons, or upgrades after a change will be billed at the rate in effect at purchase time.

7.7 Renewals

The plan renews automatically for the same period ("Renewal Period"), unless: (a) the user cancels at least five (5) business days before the end of the current period; (b) auto-renewal is disabled in the account or through support; (c) FirmaHoy cancels the plan or account for breach; (d) FirmaHoy decides not to renew; or (e) these Terms are terminated as provided herein.

7.8 Free Trial

FirmaHoy may offer free trials. If the user does not cancel before trial end date, the plan will automatically convert to a paid plan under applicable terms and the registered payment method will be charged.

7.9 Promotional Codes

Unless expressly stated otherwise, promotional codes apply only to the first subscription period. Renewals will be charged at the non-discounted rate. Codes are non-transferable and not applicable to plans other than the originally contracted one.

7.10 Overages

In usage-based plans (e.g., signed documents), usage exceeding contracted units will generate additional charges, billed retroactively and charged automatically to the registered payment method.

7.11 Taxes

Prices do not include applicable taxes (e.g., VAT in El Salvador or other local taxes). Any tax, withholding, or governmental charge is the user's responsibility unless otherwise required by law.

7.12 Late Payments and Collection Costs

Payments not made by the due date may accrue late fees up to the maximum allowed by applicable law. The user will bear reasonable collection costs, including legal and administrative fees.

7.13 FirmaHoy Limitations

FirmaHoy facilitates access to the authorized payments platform, but is not responsible for failures, rejections, or errors attributable to payment processors or financial institutions.

7.14 Payments for Enterprise and Government

For enterprise, institutional, or government accounts, FirmaHoy may offer payment methods other than credit/debit card, including bank transfer, invoice payment terms, or customized billing agreements. These methods are available only to previously qualified clients and are subject to approval, payment terms, and special conditions detailed in the corresponding invoice or contract.

Likewise, FirmaHoy reserves the right to establish preferred rates or volume discounts applicable only to large, corporate, or institutional accounts, according to internal criteria and prior negotiation with the client. Such discounts are not automatic and must be stated in writing in the issued contract or invoice.

8. Warranties and Disclaimers

8.1 Services "As Is"

FirmaHoy Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, statutory, or otherwise.

8.2 Exclusion of Warranties

To the fullest extent permitted by applicable law, FirmaHoy does not warrant that:

  • Services will be free from errors, interruptions, or vulnerabilities.
  • Services will be available at all times or without delays.
  • Services will meet the user's expectations, needs, or specific requirements.
  • Electronically signed documents through the platform will be recognized as valid in all jurisdictions, since acceptance depends on local laws and competent authorities.

8.3 No Legal or Technical Advice

FirmaHoy does not provide legal, accounting, tax, or technical advice. Any guidance included in the platform is general in nature and does not constitute professional advice. The user is responsible for obtaining specialized advice when appropriate.

8.4 Third-Party Disclaimer

FirmaHoy is not responsible for third-party services used together with the platform (e.g., payment providers, internet services, digital signature certificate authorities). Any failure attributable to such third parties is solely their responsibility.

9. Limitation of Liability

9.1 Exclusion of Indirect Damages

To the fullest extent permitted by law, FirmaHoy is not liable to the user or third parties for indirect, incidental, special, exemplary, punitive, or consequential damages, including loss of revenue, profits, data, contracts, or reputation, even if advised of the possibility of such damages.

9.2 Maximum Liability Cap

FirmaHoy's total cumulative liability to the user for any claim related to the Services, whether contractual, tort, or otherwise, is limited to the amount actually paid by the user to FirmaHoy in the twelve (12) months preceding the event giving rise to the claim.

9.3 User Responsibility

The user acknowledges and agrees that:

  • FirmaHoy acts only as a technology provider, and legal validity and compliance of documents are exclusively the responsibility of signing parties.
  • FirmaHoy is not responsible for fraud, forgery, or identity impersonation committed by users or third parties through the platform.
  • Improper use of Services is the user's exclusive risk.

9.4 Shared Responsibility

Security and proper functioning of Services depends on user collaboration. FirmaHoy is responsible only for operation and security of its platform, while the user is responsible for:

  • Security of their own devices, systems, and access networks.
  • Keeping equipment, browsers, and configurations up to date.
  • Implementing reasonable protection measures against unauthorized access (e.g., strong passwords, antivirus, firewalls).
    FirmaHoy is not responsible for failures, vulnerabilities, or damages arising from inadequate configurations, user negligence, or lack of security measures in user systems.

9.5 Force Majeure

FirmaHoy is not liable for non-performance or delays caused by circumstances beyond its reasonable control, including power outages, internet failures, cyberattacks, pandemics, strikes, acts of terrorism, armed conflicts, natural disasters, or government acts.

10. Termination and Suspension

10.1 Termination for Breach

FirmaHoy may immediately suspend or cancel user account and access to Services if the user:

  • Breaches these Terms and Conditions.
  • Fails to pay fees on the due date.
  • Uses Services for fraudulent, illegal, or prohibited activities.
  • Manipulates, alters, or attempts to compromise platform security.
  • Provides false or misleading information during registration or service use.

10.2 Termination Without Cause (Convenience)

FirmaHoy may terminate service provision at any time, without cause, by notifying the user at least ten (10) business days in advance.

10.3 Termination by User

The user may cancel account and Services at any time by written notice to FirmaHoy at least five (5) business days before end of current billing cycle. Cancellation does not grant refunds for already paid periods.

10.4 Temporary Suspension

FirmaHoy may temporarily suspend user access to Services in the following cases:

  • Security risks detected in the account.
  • Urgent platform technical maintenance.
  • Legal or regulatory requirements.

10.5 Effects of Termination

In all termination cases:

  • The user remains responsible for all outstanding payments up to termination date, including recurring fees, overages, interest, and collection costs.
  • FirmaHoy may retain records and documents as long as needed to meet legal, regulatory, or audit obligations.
  • The user has no right to refunds, except where expressly required by law.

10.6 Survival of Clauses

Provisions of these Terms that by nature should survive termination (including intellectual property, confidentiality, limitation of liability, indemnification, and governing law) remain in effect after contractual relationship ends.

10.7 Document Download After Service Termination

Upon account termination, FirmaHoy may retain user documents on the platform for a limited period of up to thirty (30) calendar days so the user can download or transfer them.
After that period, FirmaHoy has no obligation to preserve, store, or make such documents available, and may securely and permanently delete them without additional liability.

11. Indemnification

11.1 Obligation to Indemnify

The user agrees to indemnify, defend, and hold harmless FirmaHoy, its affiliates, officers, employees, agents, partners, and suppliers from any claim, demand, action, proceeding, damage, loss, liability, cost, or expense (including reasonable attorneys' fees) arising out of or related to:

  • (a) improper use of Services by the user;
  • (b) breach of these Terms and Conditions;
  • (c) violation of third-party rights, including intellectual property, privacy, or confidentiality rights;
  • (d) use of illegal, fraudulent, or unauthorized documents through the platform;
  • (e) any contractual dispute between the user and third parties related to documents signed on the platform.

11.2 Cooperation

FirmaHoy will notify the user of any indemnifiable claim and provide reasonable opportunity to assume defense, provided such defense is diligent and does not negatively affect FirmaHoy's interests. FirmaHoy may participate with its own legal representation at user's expense.

11.3 Non-release

The indemnification obligation survives termination of the contractual relationship between user and FirmaHoy.

11.4 Sanctions and Export Compliance

The User represents and warrants that they are not subject to economic, trade, or financial sanctions imposed by any government or international authority, and will not use the Services in violation of export control laws or applicable international sanctions regulations. FirmaHoy may suspend or cancel accounts violating these provisions.

12. Governing Law and Jurisdiction

12.1 Governing Law

These Terms and Conditions are governed by and interpreted in accordance with laws of the Republic of El Salvador, without regard to conflict-of-laws principles.

12.2 Exclusive Jurisdiction

Any dispute, action, or proceeding arising out of or related to these Terms will be submitted to exclusive jurisdiction of competent courts of San Salvador, El Salvador, and parties waive any other venue that might apply by reason of present or future domicile.

12.3 Negotiation and Alternative Resolution

Before initiating judicial proceedings, parties will seek in good faith to resolve any dispute through direct negotiation. FirmaHoy may, at its discretion, offer mediation or arbitration in El Salvador under current legislation as an alternative dispute resolution mechanism.

13. Amendments to the Terms

13.1 Right to Modify

FirmaHoy reserves the right to modify these Terms and Conditions at any time.

13.2 Notice of Changes

Changes will be published on FirmaHoy official website or in the platform. Such publication constitutes sufficient notice to user.

13.3 Acceptance of Changes

Continued use of Services after publication of changes constitutes express acceptance of new Terms. If user does not agree with changes, they must stop using Services and cancel account before changes take effect.

14. General Provisions

14.1 Assignment

The user may not assign or transfer rights or obligations under these Terms without prior written consent of FirmaHoy. FirmaHoy may assign its rights and obligations to affiliates, acquirers, or authorized third parties without restriction.

14.2 Entire Agreement

These Terms, together with Privacy Policy and other linked documents, constitute the complete agreement between user and FirmaHoy and replace any prior written or oral agreement related to same subject matter.

14.3 Severability

If any provision of these Terms is found invalid or unenforceable by a competent court, remaining provisions continue in full force and effect.

14.4 No Waiver

Failure by FirmaHoy to exercise or enforce any right or provision under these Terms does not constitute waiver of such right or provision.

14.5 Notices

All official notices and communications between parties will be made by electronic means, either through the platform, by email to registered user, or by publication on FirmaHoy official website.

14.6 Contact

For any inquiry, notice, or claim related to these Terms and Conditions, user may contact FirmaHoy through official email: soporte@firmahoy.com. FirmaHoy does not guarantee handling of communications sent through channels other than the one indicated.

14.7 Governing Language

In case of discrepancy between translated versions of these Terms and Conditions, Spanish version prevails as original and binding text.
